These Terms of Service ("Terms") govern your use of the Scale Up Digital website and services. By requesting a preview, purchasing our web build, or subscribing to a maintenance plan, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing our website, requesting a preview, or purchasing any service from Scale Up Digital ("Scale Up Digital," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Description of Services

Scale Up Digital is a digital agency providing website design and development, lead-generation tooling, and related digital support built specifically for home service businesses, including HVAC and plumbing companies, operating in the United States ("Services"). Our core offering is a one-time website design, development, and launch package, followed by optional ongoing monthly hosting, security, and maintenance subscriptions.

3. Fees and Payment

3.1 One-Time Development Fee. Clients pay a one-time fee, as quoted on our Pricing page or order confirmation, to design, build, and launch a custom website. This fee is due in full before development work begins.

3.2 Monthly Subscription Plans. Following launch, clients may select a monthly maintenance and support plan as described on our Pricing page. Monthly plans bill automatically on a recurring basis until cancelled.

3.3 Payment Processing. All payments are processed securely by Paddle.com Market Limited ("Paddle"), our authorized payment processor and merchant of record. Paddle handles billing, applicable sales tax/VAT, and payment security. By paying, you also agree to Paddle's Buyer Terms and Privacy Policy at paddle.com.

3.4 Price Changes. We may change pricing for future billing cycles, with at least 30 days' notice before any increase takes effect on an active subscription.

4. Refunds and Cancellations

Refund eligibility, cancellation notice periods, and non-refundable work scope are governed by our dedicated Refund & Cancellation Policy, which forms part of these Terms. In summary: the one-time development fee becomes non-refundable once work has commenced, and monthly plans may be cancelled at any time, effective at the end of the current billing cycle.

5. Client Responsibilities

You agree to provide accurate business information, timely feedback, and any content, images, logos, or materials reasonably required to complete your project. Delays caused by a lack of client feedback or materials may extend timelines and are not our responsibility. You represent that you own or have the right to use any materials you provide to us.

6. Revisions and Ongoing Support

Each monthly maintenance plan includes a defined scope of support (such as content edits, updates, or campaign refreshes) as described on our Pricing page at the time of your subscription. Requests outside your plan's scope may be quoted separately as additional work.

7. Intellectual Property

Upon full payment of the one-time development fee, ownership of the final website design and content created specifically for you transfers to you, excluding third-party assets, stock imagery, licensed plugins, or underlying code libraries and frameworks, which remain the property of their respective owners and are licensed, not sold, for use on your website. We retain the right to showcase completed work in our portfolio and marketing materials unless you notify us in writing otherwise.

8. Third-Party Services

Delivery of our Services may depend on third-party providers, including hosting infrastructure, domain registrars, payment processors, and analytics tools. We are not responsible for outages, changes, or failures caused by these providers, though we will make commercially reasonable efforts to minimize disruption.

9. No Guarantee of Results

While we design our websites and lead-generation tools to perform well, we do not guarantee any specific number of leads, calls, search ranking, or revenue outcome. Marketing results depend on factors outside our control, including market conditions, competition, and your own follow-up with leads.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or our Services is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business opportunities.

11. Disclaimer of Warranties

Our Services are provided "as is" and "as available." We do not warrant that our Services will be uninterrupted, error-free, or completely secure, though we take reasonable measures to maintain a stable and secure website for you.

12. Termination

We may suspend or terminate your access to our Services if a payment fails and is not resolved within a reasonable grace period, or if you violate these Terms. Upon termination for non-payment, we may take your website offline until the account is brought current.

13. Governing Law

These Terms are governed by the laws of Egypt, without regard to conflict of law principles, reflecting our current place of business. This clause will be updated if our corporate structure changes.

14. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
