Version 2 · Effective October 7, 2026
This one-page agreement covers your website build and the monthly plan that keeps it online. It is between Youssef Mahmoud, an individual based in Egypt trading as Scale Up Digital ("I," "me"), and the business named on your invoice ("you").
I approve the preview and accept Agreement v2, followed by your name and your business name.
That reply is your signature. I send the invoice only after I receive it.
The website shown in the preview you approved, with any changes we agreed in writing, launched on your domain, with its quote form sending each new request to your email. Extra pages or features beyond that are quoted separately.
The build is a one-time $899. It covers designing, building and launching your site; keeping it online is the monthly plan (section 4). I invoice you only after you approve the preview, and you pay through the payment link on the invoice (card or bank transfer). Any sales or local taxes where you are located are your responsibility.
Your site goes live on your domain within 10 US business days (Monday to Friday, excluding US federal holidays) of your payment arriving — or I refund the full $899. Days I spend waiting on you (for content, approvals, or access to your domain) don't count. "Live" means anyone can open the site on your domain and its quote form delivers to your email. Apart from this guarantee, the $899 is non-refundable once paid.
Your site runs on my hosting and stays online while your monthly plan is active. The plan is $149 a month (Standard) or $199 a month (Growth), covering what the Pricing section lists for your plan on the day you start it, and it starts on the day your site goes live. I email an invoice on the same date each month; nothing is ever charged automatically. Cancel any time by email: the plan ends at the end of the month you've paid for, with no partial refunds. If an invoice is still unpaid 14 days after its date, I pause your site — visitors see a plain “temporarily unavailable” page — and bring it back within one business day of your payment. If it is still unpaid 30 days after its date, your plan ends (section 9). I aim for 99.5% monthly uptime, but that is a target, not a guarantee.
Your domain is registered in your business's name, with you listed as the owner (the registrant). If I buy it for you, its cost is shown on your invoice. Whenever you ask, I'll move it to an account you control, at no charge.
Always yours: your domain (section 5), your business name, logo, photos, reviews and anything else you send me, and every quote request your site collects. The website itself — its design, its code, and the text and images I create for it — is licensed to you while your monthly plan is active. It becomes yours, free, once you've paid 12 monthly invoices (they don't need to be in a row), or at any time before that for a one-time $899. When it becomes yours, I send you the site's files, the text and images I created for it are yours, and you get a permanent, royalty-free licence to use, copy and change the underlying code and design system I reuse across clients, for your own business website. Stock images, fonts and code libraries come under their own licences. I may show your site in my portfolio unless you tell me not to.
You give me accurate information and review every page before launch. Your contractor licence number must appear on your site — your TDLR licence number for air conditioning and refrigeration work, or your Responsible Master Plumber's licence number for plumbing — and I won't launch a site without it. You are responsible for the facts and claims on your site (licences, insurance, warranties, prices, reviews and ratings) and for having the right to use anything you send me. You agree to cover any loss or claim I face because of content or claims you provided or approved.
Quote-form submissions go straight to your email. I handle them only to deliver them to you; I don't sell them or use them for anything else. You decide how you use them and how you contact your customers, in line with the law.
If your plan ends — because you cancel, or because an invoice stays unpaid (section 4) — your site goes offline at the end of the last month you paid for. If the site is already yours (section 6), I send you its files first, so you can host it anywhere. Either way, your domain stays yours and I move it, with its settings, to an account you control, at no cost; I send back the materials you gave me; and every quote request is already in your email. I keep a backup of your site for 30 days after your plan ends, so you can bring it back by restarting your plan, or buy it for $899 and take the files. I never hold your domain or your data to get paid.
My total liability under this agreement is limited to what you paid me in the 12 months before the claim, and I'm not liable for lost leads, lost profits, or indirect or consequential damages, including while your site is paused or offline under sections 4 and 9. Nothing here limits liability that the law doesn't allow to be limited. I aim to build to the WCAG 2.1 AA accessibility guidelines and check each site before launch, but I can't guarantee that any website will never face a legal claim.
This agreement is governed by the laws of the State of Texas. Changes need both of us to agree in writing (email is fine). If any part is found unenforceable, the rest stays in force. Where this agreement differs from my website's Terms of Service or Refund Policy, this agreement wins.
