Terms of Service

Last Updated: October 7, 2026

These Terms of Service ("Terms") govern your use of the Scale Up Digital website and services. By requesting a preview, purchasing our web build, or subscribing to a maintenance plan, you agree to be bound by these Terms. If you become a client, the one-page Client Agreement you accept in writing before paying governs our work together and prevails wherever it differs from these Terms.

1. Agreement to Terms

By accessing our website, requesting a preview, or purchasing any service from Scale Up Digital — the trading name of Youssef Mahmoud, an individual based in Egypt ("Scale Up Digital," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Description of Services

Scale Up Digital is a one-person web design studio providing website design and development, lead-generation tooling, and related digital support built specifically for home service businesses, including HVAC and plumbing companies, operating in the United States ("Services"). Our core offering is a one-time website design, development, and launch package, followed by a monthly hosting, security, and maintenance plan that keeps the site online.

3. Fees and Payment

3.1 One-Time Build Fee. Clients pay a one-time fee, as quoted on our Pricing page or order confirmation, to design, build, and launch a custom website. We prepare a free preview of your site at no charge and with no payment details required. The build fee becomes due only after you have reviewed that preview and confirmed in writing that you wish to proceed to launch.

3.2 Monthly Subscription Plans. We host your site, and it stays online while a monthly plan, as described on our Pricing page, is active. The plan starts on the day your site launches. Each monthly plan is invoiced by email; nothing is charged automatically, and you may cancel at any time.

3.3 Invoicing and Payment Methods. We invoice you directly. Each invoice is itemized and sent by email, and you pay it through the payment link it contains. Payment is made by bank transfer or by card through the secure payment link included on the invoice, which is operated by a third-party payment provider. We never collect, process, or store card details through this website. Any applicable taxes are your responsibility unless stated otherwise on the invoice.

3.4 Monthly Invoices. Monthly plans are invoiced by email on the same date each month. Nothing is ever charged automatically, and we never store your card details.

3.5 Price Changes. We may change pricing for future billing cycles, with at least 30 days' notice before any increase takes effect on an active subscription.

4. Refunds and Cancellations

Refund eligibility, cancellation notice periods, and non-refundable work scope are governed by our dedicated Refund & Cancellation Policy, which forms part of these Terms. In summary: you pay the build fee only after approving your preview; once paid it is non-refundable, except that you get a full refund if your site is not live on your domain within 10 US business days of your payment arriving (Refund Policy, section 2.3). Monthly plans may be cancelled at any time, effective at the end of the current billing cycle; when a plan ends, the site goes offline unless it has become yours under section 7.1.

5. Client Responsibilities

You agree to provide accurate business information, timely feedback, and any content, images, logos, or materials reasonably required to complete your project. Delays caused by a lack of client feedback or materials may extend timelines and are not our responsibility. You represent that you own or have the right to use any materials you provide to us. Your contractor licence number must appear on your website (your TDLR licence number for air conditioning and refrigeration work, or your Responsible Master Plumber's licence number for plumbing), and we will not launch a site without it. You review and approve all content before launch and are responsible for the accuracy of the facts and claims on your site, including licences, insurance, warranties, prices, reviews and ratings. You agree to indemnify us against any loss or claim arising from content or claims you provided or approved.

6. Revisions and Ongoing Support

Each monthly maintenance plan includes a defined scope of support (such as content edits, updates, or campaign refreshes) as described on our Pricing page at the time of your subscription. Requests outside your plan's scope may be quoted separately as additional work.

7. Intellectual Property

7.1 Ownership. Your domain, business name, logo, photos and other materials you provide remain yours at all times. The website we build for you — its design, its code, and the text and images we create for it — is licensed to you while your monthly plan is active. It becomes yours once you have paid 12 monthly invoices, or at any time before that for a one-time payment of $899: we then send you the site's files, the text and images we created for it become yours, and we grant you a permanent, royalty-free licence to use, copy and modify the underlying code and design system we reuse across clients, for your own business website. Third-party assets such as stock imagery, fonts and code libraries remain the property of their owners and are used under their own licences. We may showcase completed work in our portfolio and marketing materials unless you notify us in writing otherwise.

7.2 Domain Names. Your domain is registered in your business's name, with you as the registrant. If we purchase it on your behalf, its cost appears on your invoice, and we will transfer it to an account you control on request, at no charge.

8. Third-Party Services

Delivery of our Services may depend on third-party providers, including hosting infrastructure, domain registrars, payment processors, and analytics tools. We are not responsible for outages, changes, or failures caused by these providers, though we will make commercially reasonable efforts to minimize disruption.

9. No Guarantee of Results

While we design our websites and lead-generation tools to perform well, we do not guarantee any specific number of leads, calls, search ranking, or revenue outcome. Marketing results depend on factors outside our control, including market conditions, competition, and your own follow-up with leads.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or our Services is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost leads, lost profits, or lost business opportunities.

11. Disclaimer of Warranties

Our Services are provided "as is" and "as available." We do not warrant that our Services will be uninterrupted, error-free, or completely secure, though we take reasonable measures to maintain a stable and secure website for you. We aim for 99.5% monthly uptime on our monthly plans; this is a target, not a guarantee.

12. Termination

We may suspend or terminate our Services if you violate these Terms. If a monthly invoice remains unpaid 14 days after its date, we pause your site until it is paid; if it remains unpaid 30 days after its date, your monthly plan ends. When a plan ends, your site goes offline, unless it has become yours under section 7.1, in which case we first send you its files. In every case your domain stays yours and we transfer it to an account you control at no cost. We never withhold your domain or your data to collect payment.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
